Guarantee offers a money back guarantee that our software will work on your Windows IIS server, exactly as it does in our demo areas, provided that the system requirements in this [ LINK ] have been met, and that if the client is unable to complete the installation error free, that we are given FTP access to assist in the installation.

Please test our software demos and examine these [ system requirements ] thoroughly before your purchase, since we don't offer refunds if you have purchased this software for a Unix or Linux system (including Apache / Red Hat) or if you've simply "changed your mind".

Why not an unconditional guarantee?   In short... fraud.

Our thousands of existing clients in over 140 countries tell us that our software applications and support are great, and we know it! (No false modesty here.) So, we aren't concerned about backing our product, we're proud to support it! In fact, very little support is typically required, but we're here to offer it to you for free.

Unfortunately, not everyone on the net is honest, and we send the unencrypted source code! (While this is the maximum freedom for site developers, it leaves us vulnerable to fraud, which is why so few application developers are willing to provide open source code.) In addition we will have incurred costs of the sale itself, as well as in providing free support.

So, rather than resticting the flexibility of open source code, or risking insult to clients by having a flexible policy on this, we are very firm that NO refunds will be made except as defined above. (Where we can be sure that purchasers really did intend to use the software, but something out of their control has not allowed them to.)

Software Licenses (All Software)

All software sold by is for a 'single installation license' unless clearly specified otherwise, in the purchase email, and is sent via download link. (CDs, shipping, and printed documentation are not included in the price of our applications.)

The software purchaser is required to agree to the conditions of this page, before either downloading or requesting an installation of any software. Distributors (Resellers) also must agree to, and forward these conditions to the end-user before accepting a sale on behalf of

Any software license sold by includes a copy of the source code, and an electronic copy of any applicable users' guide which may be used by the client upon payment. All sales are for the license to use an application only, which does not in any way imply ownership or rights to the software code itself. All code developed by remains the exclusive property of Purchasers may remove the Expinion logo, but may not claim to own the software code in any way (in writing, verbally, on their web sites, or in any other fashion.) This includes, but is not limited to showing their own logo or text on the software, with any claims to having developed or written the software, Nor, may the software be posted online with the Expinion copyright notice removed from the source code. (This implies ownership of the code, and is expressly forbidden under the terms of this license agreement.)

Unless clearly specified otherwise, in the 'Purchase' email, all license sales are for a single installation only. As such, the client agrees to provide Expinion with the Company Name and URL (if not for intranet use) where that license will be used, and not to resell or otherwise distribute the software without express written consent from For example: A web designer may purchase a license to an application which he intends to modify on behalf of a client. He may use the license on the single installation for which it was purchased (his client's site). However, he will be required to purchase a separate license for each client. This license may not be resold to a different client, and it may not be resold by the end-user.

Regardless of whether or not the client has modified the code, ownership and further distribution will be exclusive to Expinion and/or agents or distributors designated by Expinion. All software licenses sold by Expinion may be used on an internet site or intranet server, whose domain is owned by the licensee. References made below to exclusive use do not refer to site visitors, but rather to the number of copies of the code that can be used, on whose sites, and on how many servers.

Links provided af the time of purchase, are to be used once only (with exceptions for Server, Developer, Enterprise, or Distributor licenses, which will be noted on the purchase email & record). Client agrees to indemnify and hold harmless the provider ( for any damages caused by Expinion software and/or its employees to the client's business in any way, or as indicated in the remainder of this document, including terms identified in the Services section.

Client will use the software in a manner consistent with any and all applicable laws of Manitoba, Canada and the laws of the client's country. Any legal actions brought against Expinion or initiated by, will be held in courts located in Winnipeg, Manitoba, Canada. The decision of the courts of Canada will be binding. Expinion will not be responsible for monitoring the use of the application licenses which have been sold, but when a client is known to violate the law, or any other portion of Expinion's licensing or policies, Expinion reserves the right to withdraw the application license immediately, without notice or reimbursement.

Single Installation License:
All software licenses sold by, are for a single installation only, unless otherwise specified as Server, Developer, or Enterprise Licenses. Other license types are described below, and available at a higher cost to the client with additional restrictions and/or exceptions.

This license may only be used on 'one' permanent installation (or one intra-net server when the site is not on the world wide web), and is non-transferable. All licenses are subject to the rules and restrictions stated above, and must be used in a manner consistant with the laws of the land in which they are being used.


Ideal for those who will use the product under one domain name and require only one copy of the application to be installed. A single installation license allows you to have more than one domain pointing to the same installation, but you may not install the application in more then one place. (Not even a second installation under the same domain name). During the installation, update, or upgrade process, you may have a second copy in place temporarily. (This period should not exceed 7 days, at which time one of the installations must be removed.)

The Licensee is not permitted to:
* Use the application outside of the licensed domain name for which it was purchased.
* Re-sell the application in any way or form, beyond it's use for the URL or company for which the license was purchased.
* Incorporate as part of any other applications, if that application resides outside of your domain name.
* Use the software anywhere outside the licensed corporation/business or domain name.
* Use the software for web hosting by other parties (companies), even if the application resides on your corporate servers.
* Install more then one copy of the application per license.
* Remove the copyright information located in the source code, but not visible on the site. (Visible references to may be removed, such as the logo, provided no claims to having developed the softare are made.)




Server License:

Allows Licensee to use the software as long as the application resides on the corporate servers of one business only, and that the software is used only on domains owned and used exclusively by the business who purchased the license, and that the restrictions above and below are upheld.

i.e. A company may own and use the software license on dozens of domains, provided that the domains or intranet servers are all owned by the licensee company only, and used exclusively for the purposes of that one company. (The applications are not to be distributed for administrative use on the domains of that company's clients, even if the licensee owns such domains on their behalf.)

If you have a Server License, you will have a unique series of Purchase ID / License Number, and the Purchase Email which you receive from will clearly indicate Server License.

The Server Licensee is not permitted to:
* Use the application outside of the corporate servers for which it was purchased.
* Re-sell the application.
* Incorporate / integrate with any other applications, if that application resides outside of your corporate servers.
* Install the software anywhere outside the servers owned or leased (hosted) by and for the licensed corporation or business .
* Use the software for web hosting by other parties (companies) even if the application resides on your corporate servers.
* Offer hosted installations or administrative access to anyone outside of employees, owners, agents, volunteers, or contracted workers of the licensed company.
* Use the software for web hosting by other parties (companies) even if the application resides on your corporate servers.

Installation & Technical Support:
* Technical support is included, but limited to 10 issues/questions per license, a maximum of 3 hours, or for a period of up 3 months - whichever comes first. Beyond that, a support contract will be required.

Developer License:

Allows Licensee to modify and use the source code and/or application, and use it without limitations to the number of users, with the exception of the restrictions outlined above and below. The product itself may not be resold on its own or redistributed as part of another application. (Except as part of a website.)

If you have a Developer License, you will have a unique series of Purchase ID / License Number, and the Purchase Email which you receive from will clearly indicate Developer License.

The Licensee is not permitted to:
* Re-sell, lease, or otherwise distribute (freeware, etc.) the application and/or source code, (other then for Licensee clients) or as a part of Licensee's custom solution.
* Publish as a freeware (shareware, GPL etc.), or distribute in any way or form, the application and/or its source code.
* Use the product to compete in any way, directly with

Installation & Support:
* Technical support is included, but limited to 10 issues/questions per license, a maximum of 3 hours, or for a period of up to 3 months - whichever comes first. Beyond that, a support contract will be required.

Enterprise License:

The purchaser of an Enterprise license may distribute the software freely within their own company, and/or resell it outside their own company (provided the end-user will be charged a fee), single installation versions of the application, without paying any royalties to, for as long as they wish.

This license has minimal restrictions.
* Purchasers must remove all references to (from code & documentation) before distributing it.
* Purchaser may not allow others to resell this application, outside of their normal company representatives, partners and/or distributors. (ie. May not resell the license to resell.)
* Purchasers may not distribute the application free-of-charge, except for use within their own company.
    (This product can never be offered as freeware (Shareware or GPL etc.)

Installation & Support:
* Technical support is included, but limited to 10 issues/questions per license, a maximum of 3 hours, or for a period of up to 3 months - whichever comes first. Beyond that, a support contract will be required.

Installation Conditions:
* Installation can only be provided by when the client can allow temporary access to their server via FTP. (Installation will never include a visit to the client's physical address unless this has been arranged specifically including travel expenses. Nor will we complete an installation via a host's control panel or a remote desktop utility.)
* Installation is provided on request only and after payment has been received.
* Installations will be processed on a next available installation date basis, completion times will depend on staff availability and work load.
* Installation and support is limited to code written by only.
* Installations do not include custom headers, footers, data manipulation or input, or customizations to change the way the product is designed to work. Your completed installation should be the same way as our demo areas.
* For My SQL and MS SQL, Expinion staff need to be given remote access to the database to execute SQL queries.
   If remote access cannot be provided, then the client will have to execute the table creation queries.
   If the client is unable or unwilling to execute the query, then Expinion reserves the right to use MS Access.
* The client may also be asked to write enable specific folders during the installation process.
* Paid installations of version upgrades do not include customizations. While all attempts will be made to preserve the data, customizations to the code in the previous version as well as customizations to the header/footer etc. will be lost. (Be sure to take a backup of your files and DB so you can recreate customizations more easily.)
* Client agrees to indemnify and hold harmless, for any damages caused by Expinion software and/or its employees to the client's business during the installation and/or as a result of the installation, including any inability by the client or their visitors to access their site.

Free Support Conditions: offers free support on all of our purchased applications, however it is not unlimited support. Expinion reserves the right to restrict free support for any application license to:

* In order to maintain our low prices, we reserve the right to limit free support to a maximum of 12 support questions per application purchase, or for a period of 90 days, whichever comes first.
Please use your admin guides, and the knowledgebase as much as possible.
* Issues related to the application program itself.
For example, we do not offer support for "How to program in HTML, Java, or ASP", if you wish to customize your application beyond what is offered via the admin menus and config files, you must do this yourself. Nor can we help you with "How to setup your own server or its components". The server itself and required components must be working properly before your application will work.
* Only one company representative per application sale.
(One contact person should make all support requests on behalf of users within their company.)
* The most current version of the application.
We cannot promise support on old versions of software, which may not be compatible with newer operating systems, etc. If a newer version is available, we strongly suggest that our users upgrade.
* Technical support is offered via our [ Help Desk implementation ] only, or via [ email ].
* Sales support and general application questions can be directed to 1.888.407.9346.
(Please do not call for technical support, you cannot be transferred, and the sales office does not have technical expertise.)

* Unmodified code. may refuse to provide support for modified and/or changed code. (This right has never been exercised to date.)
* Expinion reserves the right to return code to its original unmodified condition when trouble shooting. (We will try to make a backup of your original file, but you should have backups just-in-case.)
* Support is offered in English only (we don't have staff that speak other languages). Any language translations that come with your application have been provided by clients, and are not guaranteed accurate by In general, you should be able to run the applications in any language supported by your server, however we cannot guarantee that all character sets will be supported on all servers. If you plan to use other character sets, there may be some custom work required.
* Custom work is not included in free support. (Paid custom work is accepted based on staff availability, and the nature of the work.)
* Applications for which payment has been received.

Additional Support Information:
* After the free support period (or maximum 12 issues) has been reached, installation support and other support for our software can be purchased [ here].(Look near the bottom of the page.) Paid support is offered under the same conditions as free support.
* Client agrees to indemnify and hold harmless, for any damages caused by Expinion software and/or its employees to the client's business as a result of support offered by or it's staff, including any inability by the client or their visitors to access their site.

Free Update Conditions (Single Installation License Only):
Updates to your purchased version of software are included in the sales price of all single installation licenses, with the conditions listed below. Updates can be found via our Help Desk implementation [here].

* reserves the right to restrict this free offer to updates only. Version upgrades are free for 90 days after purchase. After that upgrades must be purchased.
  • For example:

    Updates include all changes made within the same version of software.
    Version Upgrades are changes made to the whole number or the first number after the decimal place.

    Purchases of MMS version 4.0 will include updates to version 4.0.1, 4.0.2... etc.
    Upgrades, such as v 4.1, 4.2, 5.0 etc. are only included free-of-charge for 90 days after purchase.
* VERSION UPGRADES: Customers, who have purchased a previous version, will be advised of any discounted rate when they request an upgrade.

Software Refunds & Exchanges: will refund your purchase price according to the conditions of our [ guarantee ].

Once the download links have been sent, will not refund your purchase price if the request is based on one of the following reasons:
  • Linux or Unix Servers:
    Our products do not work on Unix or Linux applications (or Apache or Red Hat), as clearly noted in our requirements area, and throughout our site.
  • Improperly or Incompletely Setup IIS Server:
    The IIS server must be properly setup, with a working MS SQL or MS Access database, that supports ASP (tested), and can already be used to send emails outside of the local domain. Most Windows IIS packages available from a reputable host will be fine. If unsure of this, please attempt to install one of our free applications before you purchase one. (The software and guides are less detailed than the purchased applications, but it will give you a good idea what to expect and how it will work.)
  • Unavailable feature:
    We try to be as clear and concise as possible when describing the features of our products. However, to avoid any misunderstandings, we strongly encourage users to test the demos thoroughly to be sure the application meets all needs.
Since we provide the source code we don't offer trial licenses, nor can the product be returned after the download links have been sent (much like packaged software once the package is opened). The only time a refund will be granted is if the software can't be made to work as in the demo, according to the stipulations in the [ guarantee ] above, or on the extremely rare occasion that revokes a license.

Refusal of Sale owners and employees reserve the right to refuse any new sale, at their sole discretion. If funds have already been received specifically for that sale, which was cancelled by an staff member, funds will be refunded. Anytime payment has been refunded, the user will no longer have a license to use the product. Any use of a product without a license may result in legal action.

Revocation of Software License owners and employees reserve the right to revoke a license to use software:
  1. Without refund:
    • When the client has defaulted on the promised payment.
    • When the copyright notice has been removed from the source of code.
    • If the customer is using the software on a site with illegal content, or in an illegal manner.
    • If the customer becomes abusive to personnel.
    • The license holder has broken any other license requirements or restrictions outlined here.
  2. With refund, when an staff member determines that they can no longer help the user.

    An example of this would be when a client has server troubles that they cannot resolve on their own, and these server troubles result in the inability to use software at all.

    Note that does not guarantee support for server installation or setup, only for the software that we sell. Since a working IIS server is a listed requirement of the software, and since our policy on this is not to refund orders after the software has been sent, refunds will be an exception and the decision will be at the sole discretion of personnel. Expinion's decision will be final.
When the license to use any product has been revoked, the user must remove and destroy all copies of software from all mediums of storage, as well as any printed copies of documents or code. Where any copies of the software are being stored on a medium that is not owned or controlled by the purchaser (example: hosted sites, copies passed between web designers and their clients), the purchaser will provide proof to that a request has been made for the removal of the software (cc of email will suffice). Failure to remove all copies of software immediately upon notice of the license being revoked, may result in legal action.

Site Content staff will not work on any project or provide services or products (such as software) for anyone using restricted contents: illegal, abusive or unethical activities including, but not limited to, child pornography, obscenity, violations of privacy, hacking, computer virus, promotion of spamming, and any harassing or harmful materials or uses, as determined by us. In other words, content must be legal, and not in any way defame the reputation of reserves the right to revoke the license of any site whose content is deemed offensive by staff, without compensation. Clients and visitors agree to indemnify and hold harmless from any claim resulting from their own publications or use of illegal, abusive or unethical materials.

Other Services
In this section, the term Services refers to services provided by or an staff member while acting on behalf of, and does not include off-the-shelf software applications.
Client will use the services in a manner consistent with any and all applicable laws.

User Parameters: The agreement hereby is intended to cover one client only, and is for the sole use of the customer specifically named above and does not extend to any other person or entity.


Provider is not responsible for any damages arising from Client's use of Provider or by Client's inability to access hosted web site and any other services for any reason.

Client owns all rights to files designed under custom web design. Provider shall make every reasonable effort to protect and backup data for Client on a regular basis, Provider is not responsible for Client's files residing on hosts outside of provider. Client is solely responsible for independent backup of data stored on Providers server and network.



Due to the public nature of the Internet, all information should be considered publicly accessible, and important or private information should be treated carefully. This exludes any communication with the provider.

In the event it is necessary to refer any dispute to an attorney, a collection agency, or resolve it in a court of law, the prevailing party will be entitled to an award of reasonable attorney's fees, collection fees, and all costs associated with any legal action, whether or not a suit shall actually be filed.

Client acknowledges having three business days to cancel after a service is ordered. Cancellations my be received in writing. After three business days all orders, sales, rents, timeframes, and terms are final. Once the service is ordered there are no refunds if the service contract is canceled by client before the regular expiration date. If no correct notice of cancellation is given, all contracts will automatically renewed for another term under the same conditions.

With the exception of approved purchase orders, payment for software is due upon delivery of that software. Fees for downloaded software are due immediately. All hosting and maintenance fees must be paid on a monthly, quarterly or annual basis. Hosting and maintenance billing invoices will be sent via E-mail ten days before payment is due (All customers must have a valid e-mail address on file).

A $25 late fee is applied to all accounts 15 days past due. Once accounts reach 30 days past due mails are sent to inform the customer, and the customer's Web site might be taken off-line to prevent further charges. Once payment is received the service is then restored. This rule only applies to websites hosted on provider's servers. does not collect taxes for any country other than Canada.

What is a Cookie?
A cookie is a tiny piece of text asking permission to be placed on your computer's hard drive. If you agree, then your browser adds the text in a small file; this is often done automatically.

If you have set your browser to notify you before accepting a cookie, you will notice that requests a cookie to be set on your computer. Its purpose is to let us know when you visit our site. This cookie, by itself, only tells us that a previous visitor has returned. It doesn't tell us your e-mail address or who you are. If you want to give us that information later via registration, that's your choice.

Why are Cookies Persistent?
If the web server does not detect a Unique ID for your session, it will generate one and send it to the client in the form of a cookie. So, if you accept the cookie, you only get it once. If you do not accept the cookie, it will try to send you one with every hit until you accept it. This means that almost every page and item on that page you request from will come with a cookie request unless you already have one.

Are All Cookies The Same?
No. On the site we have two kinds; temporary and log cookies. Temporary cookies are necessary to maintain the user session and tell our server which page to pull up next. The traffic log cookie tells us what pages are being used and which ones aren't. This helps us make improvements to the site to better meet your needs and cut down on pages that don't get used.

So What Does A Cookie Do For Me, The Visitor?
There are several immediate advantages on that you can see through the use of cookies. For example, the support area retains your username string between visits. When you return, you'll notice that the username is already typed in.

Why Do I Need to Know This?
Because we want you to know why we ask you to accept a cookie. We want to be sure you understand that accepting a cookie in no way gives us access to your computer or any personal information about you. We know that a lot of people have concerns about cookies, but in talking with many of our users, we feel that the benefit we both gain from their proper use is worthwhile. We value the relationships we have with our customers and future customers, so we respect these concerns.

Logged Files web site logs browser types for systems administration purposes. These logs will be analyzed to improve the value of the materials available on the website. A userís session will be tracked, but the user will be anonymous. We do not link IP addresses to any personally identifiable information in this manner.

Data Collection
For security reasons, Expinion does occasionally collect IP addresses. For example, at the time of placing an order. This information is used by Expinion staff to verify the validity of the sale, due to the high risk of fraud on the internet. IP information is never provided to any third party, except in cooperation with authorities, for fraud investigation purposes.

When a client uses their Expinion software to check for an available upgrade to the product, we also collect their IP address, URL and Purchase ID number, which are then used to verify the right to the upgrade and correct our license records. This information is never passed to a third party, though we do reserve the right to link to applications on the internet from our links area, unless we have received a request not to do so.

Emails and Newsletters
From time to time, Expinion will email members or clients to inform them of pertinent news and/or ask them for information / comments. The frequency and the nature of these emails will be guided by their on-going feedback. does not send out any regular newsletters, though new release notification can be requested by

Purchase Order
Purchase orders may be accepted by, subject to client account approval and for sales of $250 or more. In addition to the usual PO information, a contact email address is required so we can notify you of your account being set up, and to deliver your download link electronically.

In order to process a Purchase Order, we require clients to complete the [ form ] in our purchases area of, as well as to send a hard copy of the Purchase Order from a specific client via fax
(1-204-889-2489), or [ mail ], or a scanned image of the purchase order via [ email ]. This will automatically initiate the account registration process for new clients, or complete the sale for existing clients.

Notes and Limitations:

  • Sales via purchase order number are subject to account approval by and credit terms may be declined at the sole discretion of
  • The terms of a client's credit terms are subject to approval by, and are established on a client-by-client basis but may range from due immediately, n/15 or n/30.
